在美国开酒店

  上个世纪的一九九六年二月十日,有两件事值得载入我个人的“历史上的今天”。一个是我作为土生土长的山西人,在洛杉矶出席了美国山西同乡会成立的盛会。一个是我委托律师在当天注册了自己的跨国公司,标志着我自此走上了在美国谋求发展的经商之路。

  此前,我和妻子在中国的生意,也算是有声有色。并没有想到会移民美国。也就没学英语,没学电脑,没对西方的风俗习惯,特别是商业运作理念做过任何的了解。

  可是,即来之,则安之,路是人走出来的。我和妻子都认为,如果不尝试着通过实战演练,积累一些经验。那么在美国做生意,对我们来说就永远是个迷。

  我们按照在故乡时的理念,开始托熟人帮忙寻找生意。很快,妻子的女友回话告知说,她居住的科若纳多岛上,有一家酒店要卖,于是我们就一起前去查考察。

  虽然叫酒店,实际上是一个酒类专卖店。坐落在岛中心的主要街道上,营业面积有三千平方英尺,还有一个小型冷库,主要销售白酒、果酒、啤酒以及各种饮料和食品。

  考察中我们才知道了,店主要卖生意,是委托专业的经纪人代理,让他负责刊登广告,寻找买主,介绍生意,解答疑问。如果生意没促成,他就白忙活了。而生意成交,他就能收取卖方售价百分之六的费用。其实,我们要寻找生意,也可以委托经纪人。通常他们手头都会代理多个要转让的生意。因为我们不知道这条渠道,就没有找过经纪人,少了一些选择和比较。

  卖方的经纪人介绍说,政府根据岛内居民分布状况,只批准了设置四家这样的酒店,只能转让不能新增。店主是个六十多岁的韩国人,因患心脏病需动手术才急于转让,以原本价值一半的价格出售。经纪人说,我们可以通过查看帐目,税表,了解经营状况。我俩知道自己看不明白英文的帐目和税表,也相信经纪人不会说假话,就没找那麻烦。经纪人还告诉我们,生意成交后,还可以要求店主来店里教我们一个月。这一点正是我最所担心的,听说店主愿意教会我怎样经营,我一下就感到踏实多了。

  有了这个念想,也就有了事干。那几天,我和妻子开车把上初中的儿子送到学校后,就去店里观察。只见店里有时忙有时闲,一会儿人多一会儿人少,根本看不出销售的情况。是否真的如经纪人所说,店主是急于看病,才廉价出让?是否真的当年即可收回成本?买的只是酒店的经营权,会不会吃亏?权衡了一下,我俩认为,患得患失,瞻前顾后,就永远迈不出第一步。该出手时就出手。赔了就当是花钱交了学费吧。

  就像是张果老骑驴过后才明白。我们误打误撞却没有上当吃亏,是得益于美国有一系列的法律保护:我们签合同后,买生意的钱并不是付给卖主,而是先打给第三方,也就是中介公司的帐户。中介公司会在四十天内查清卖方是否欠各种税费,是否有外债。审查无误后,才长退短补,把钱转给卖方。听中介说,买卖法规主要是保护买方利益,这就避免了新买主不知内情,易于受骗的情况。如果买方在过户后的一个月内,发现经纪人介绍虚假情况或者卖方欺诈买主,仍可以通知中介信用公司,停止把钱划拨给卖方。

  在交接生意前,店主还带我们与房主重新签订了为期十年的租房合同,继续按月付租金。记得合同中有一项是,租房期间房主购买房屋的保险,我们购买商品的保险。我觉得这一条挺合理。如果万一发生意外,我们都不会受损失。

  在办理过户的过程中,虽有卖方的经纪人张罗,作为买方我也得配合去签字。英文合约我们也看不懂,叫在哪里签名我就在哪里签,直到过户完毕,也没有发现上当受骗的地方。每次办手续,政府有关部门的工作人员都很客气,丝毫没有歧视、刁难、拖延行为。每办完一项,工作人员都会说“祝你好运”、“希望你有好的生意”等吉祥祝福的话。

  交接那天,有专门的点货公司负责清点货物。那天去了两男一女,腰里挂着计算器,眼睛只看价格,手指不停地敲击键盘。不到两个小时,就把存货的总额计算出来。计价是先打出标价总额,再减去百分之三十五利润,就是存货价值。此前经纪人曾说,我们有权不要任何存留商品,可以重新进货。我们觉得几百个品种的酒,什么品牌销得快,根本不清楚,就要求全部留下。

  过户后,我让卖主帮忙,教我经营。学了几天,发现其实很简单,只要是记住收款机上的各种功能,会打价收款,会换打印纸就行。进货是供货公司上门服务,比如白酒,每周三就先来一个供货公司的销售员到店里登记,查看上周卖了那些品牌的货,需要补充多少。周四就会有货车把货送到店里。我收货后,在货单上签上姓名,然后在一个月内把支票寄给供货公司。价格是按照进货价乘以三,得出零售价后,用打价机把标签贴到商品上,再陈列到货柜架上即可。顾客都是在货柜架上自选商品,然后到收款台交钱。反正每瓶酒上都有标签价格,不会英文也能照常营业。

  在经营中,最困难的是我不会说英语,会影响到销售额。比如,有时某个品牌的酒销完了,若英语好就可以给供货公司打电话,立即把货补上,而我就得脱档几天,等供货公司送来后才有货卖。更多的情况是有些老顾客,会打电话让备好成箱的酒,约时间来取或送上门,我因听不明白,这种生意就做不了。经营期间,店里每天都是按时营业。据说,今天开门,明天不开,顾客会转向别处去买,就会造成营业额下降。以后卖店时会因效益下降,卖不出好价钱。营业期间主要是接待顾客,打价收钱。除了给货架上补充货,也没什么重活要干。闲㗇时间我就看书、看录像,或者是写一些散文,打发时光。

  在美国,卖酒和卖枪支一样属于特种行业。据说有了卖酒执照,其他什么商品都可以出售。经营中也无须应付各类行政管理部门的检查。也未见一个卫生、税务、工商人员前去询问过什么。送货的司机和来店里办事的警察,即使喝瓶饮料,都是照价付款。

  美国的商店里都是用收款机,机内会储存每天的营业额,记载了几点几分卖了哪些货,收了多少钱,收了多少税。从交税上可以测出这个店最少能赚多少钱。听说有些店主为了少交税,收款不经过收款机,会有一些不上帐的利润。据说这样做有两点不好:一是再转卖时,隐瞒的那部分数额无法摆上桌面体现效益,会影响售价。二是如果进货记录与以往一样,而营业额下落过多,会引起税务部门怀疑,就有可能被抽查,加上美国人的法制观念较强,发现商人收款不用收款机,就会举报。若查出有偷税行为,罚得很重。

  这个岛上富人多,安全也好,警察特别负责任。接收生意前,我在店里亲眼目睹了这样一件事:有一个年轻人来买酒,要韩国店主减价卖给他,店主不同意。这个年轻人就把买下的啤酒打开盖,往地上撒了一些走了。店主就给警察打电话报警。没过多久,一个警察来到店里,告知韩国店主说,这个年轻人已被抓住,将会关押一天,并已告诫了他,五个月内不得在距这个酒店一百米以内的地方出现,否则将会被起诉拘捕。韩国店主还告诉我们说,有一天他心脏病犯了,一位顾客发现后,就给警察局打电话,警察来后,安排救护车把他送到医院,留下一名警察替他看店卖东西。

  在交接酒店时,店主就一再告诫我们,对年轻人买酒,一定要查看身份证,如果不满二十一周岁,决不能卖给他们,否则将会被罚,发现三次以上就要吊销执照。一个周末,儿子到店里帮忙,忘了查看顾客的身份证,卖给了一个不满二十一岁的少年两瓶啤酒,被守在店外的警察查住,给儿子开了一个起诉单。到了出庭时,当法官知道我儿子是热心给父母帮忙,因粗心把啤酒当饮料卖了,于是给了一个最轻处罚。让儿子与一家医院联系,约定时间去学习。当妻子开车带着儿子按时去到医院,大门口已等候着一位医务人员,他带着儿子参观了外科病房,让看那些断胳膊缺腿的受伤病人,告诉儿子这些都是酒后驾车造成的后果。参观后签了个名字,算是上了一堂生动的教育课。把学习单交给法官,就没事了。

  还是在洽谈生意期间,我们曾通过熟人到洛杉矶的一家酒店取经,想更多的知道一些做这类生意的诀窍。店主也是个华人很健谈。他告诉我们,在美国购买他人的现成生意,属于购买无形资产。正常情况下,当年就能收回投资成本的就是好生意。两三年收回成本的还算可以,五年以上才能收回投资的就不能考虑去做。我当时就觉得有道理。试想,如果想省下这笔买生意的钱,自己筹办新生意,先得做选址、租房、装潢、安装冰柜、制作货架、联系货源、登广告、申请执照等工作,耗时间,费精力。而且刚开店的头一年里,没有固定顾客,摸不清哪些货畅销,很容易造成商品积压。而买现成生意,接手就有收入,既省心,又稳当。

  虽然,我们算是没走弯道,每月的收入,相当于一个留学多年,在公司打工的博士生。可是,总感到这和我们来美国的初衷不符。当初,我们是想在中国加入世贸前捷足先登,弄懂一些在美国做生意的规则和常识,掌握一些美国的商业运作方式,搭建一座与家乡朋友互通互惠的桥梁。经营了一年,我们感到迈出的这一步,就象小学生学了一年的课,也该升级学更多的知识了,于是就卖掉了这第一个生意,去开拓更广阔的商业领域。

article------>{"id":223,"cid":3,"subCid":"","title":"在美国开酒店","shortTitle":"","tagId":"","attr":"4,2,1","articleView":"","source":"","author":"","description":"","img":"","content":"<p><span style=\"font-size: 20px;\">  张五星</span></p>\n<p><span style=\"font-size: 20px;\">  上个世纪的一九九六年二月十日,有两件事值得载入我个人的&ldquo;历史上的今天&rdquo;。一个是我作为土生土长的山西人,在洛杉矶出席了美国山西同乡会成立的盛会。一个是我委托律师在当天注册了自己的跨国公司,标志着我自此走上了在美国谋求发展的经商之路。</span></p>\n<p><span style=\"font-size: 20px;\">  此前,我和妻子在中国的生意,也算是有声有色。并没有想到会移民美国。也就没学英语,没学电脑,没对西方的风俗习惯,特别是商业运作理念做过任何的了解。</span></p>\n<p><span style=\"font-size: 20px;\">  可是,即来之,则安之,路是人走出来的。我和妻子都认为,如果不尝试着通过实战演练,积累一些经验。那么在美国做生意,对我们来说就永远是个迷。</span></p>\n<p><span style=\"font-size: 20px;\">  我们按照在故乡时的理念,开始托熟人帮忙寻找生意。很快,妻子的女友回话告知说,她居住的科若纳多岛上,有一家酒店要卖,于是我们就一起前去查考察。</span></p>\n<p><span style=\"font-size: 20px;\">  虽然叫酒店,实际上是一个酒类专卖店。坐落在岛中心的主要街道上,营业面积有三千平方英尺,还有一个小型冷库,主要销售白酒、果酒、啤酒以及各种饮料和食品。</span></p>\n<p><span style=\"font-size: 20px;\">  考察中我们才知道了,店主要卖生意,是委托专业的经纪人代理,让他负责刊登广告,寻找买主,介绍生意,解答疑问。如果生意没促成,他就白忙活了。而生意成交,他就能收取卖方售价百分之六的费用。其实,我们要寻找生意,也可以委托经纪人。通常他们手头都会代理多个要转让的生意。因为我们不知道这条渠道,就没有找过经纪人,少了一些选择和比较。</span></p>\n<p><span style=\"font-size: 20px;\">  卖方的经纪人介绍说,政府根据岛内居民分布状况,只批准了设置四家这样的酒店,只能转让不能新增。店主是个六十多岁的韩国人,因患心脏病需动手术才急于转让,以原本价值一半的价格出售。经纪人说,我们可以通过查看帐目,税表,了解经营状况。我俩知道自己看不明白英文的帐目和税表,也相信经纪人不会说假话,就没找那麻烦。经纪人还告诉我们,生意成交后,还可以要求店主来店里教我们一个月。这一点正是我最所担心的,听说店主愿意教会我怎样经营,我一下就感到踏实多了。</span></p>\n<p><span style=\"font-size: 20px;\">  有了这个念想,也就有了事干。那几天,我和妻子开车把上初中的儿子送到学校后,就去店里观察。只见店里有时忙有时闲,一会儿人多一会儿人少,根本看不出销售的情况。是否真的如经纪人所说,店主是急于看病,才廉价出让?是否真的当年即可收回成本?买的只是酒店的经营权,会不会吃亏?权衡了一下,我俩认为,患得患失,瞻前顾后,就永远迈不出第一步。该出手时就出手。赔了就当是花钱交了学费吧。</span></p>\n<p><span style=\"font-size: 20px;\">  就像是张果老骑驴过后才明白。我们误打误撞却没有上当吃亏,是得益于美国有一系列的法律保护:我们签合同后,买生意的钱并不是付给卖主,而是先打给第三方,也就是中介公司的帐户。中介公司会在四十天内查清卖方是否欠各种税费,是否有外债。审查无误后,才长退短补,把钱转给卖方。听中介说,买卖法规主要是保护买方利益,这就避免了新买主不知内情,易于受骗的情况。如果买方在过户后的一个月内,发现经纪人介绍虚假情况或者卖方欺诈买主,仍可以通知中介信用公司,停止把钱划拨给卖方。</span></p>\n<p><span style=\"font-size: 20px;\">  在交接生意前,店主还带我们与房主重新签订了为期十年的租房合同,继续按月付租金。记得合同中有一项是,租房期间房主购买房屋的保险,我们购买商品的保险。我觉得这一条挺合理。如果万一发生意外,我们都不会受损失。</span></p>\n<p><span style=\"font-size: 20px;\">  在办理过户的过程中,虽有卖方的经纪人张罗,作为买方我也得配合去签字。英文合约我们也看不懂,叫在哪里签名我就在哪里签,直到过户完毕,也没有发现上当受骗的地方。每次办手续,政府有关部门的工作人员都很客气,丝毫没有歧视、刁难、拖延行为。每办完一项,工作人员都会说&ldquo;祝你好运&rdquo;、&ldquo;希望你有好的生意&rdquo;等吉祥祝福的话。</span></p>\n<p><span style=\"font-size: 20px;\">  交接那天,有专门的点货公司负责清点货物。那天去了两男一女,腰里挂着计算器,眼睛只看价格,手指不停地敲击键盘。不到两个小时,就把存货的总额计算出来。计价是先打出标价总额,再减去百分之三十五利润,就是存货价值。此前经纪人曾说,我们有权不要任何存留商品,可以重新进货。我们觉得几百个品种的酒,什么品牌销得快,根本不清楚,就要求全部留下。</span></p>\n<p><span style=\"font-size: 20px;\">  过户后,我让卖主帮忙,教我经营。学了几天,发现其实很简单,只要是记住收款机上的各种功能,会打价收款,会换打印纸就行。进货是供货公司上门服务,比如白酒,每周三就先来一个供货公司的销售员到店里登记,查看上周卖了那些品牌的货,需要补充多少。周四就会有货车把货送到店里。我收货后,在货单上签上姓名,然后在一个月内把支票寄给供货公司。价格是按照进货价乘以三,得出零售价后,用打价机把标签贴到商品上,再陈列到货柜架上即可。顾客都是在货柜架上自选商品,然后到收款台交钱。反正每瓶酒上都有标签价格,不会英文也能照常营业。</span></p>\n<p><span style=\"font-size: 20px;\">  在经营中,最困难的是我不会说英语,会影响到销售额。比如,有时某个品牌的酒销完了,若英语好就可以给供货公司打电话,立即把货补上,而我就得脱档几天,等供货公司送来后才有货卖。更多的情况是有些老顾客,会打电话让备好成箱的酒,约时间来取或送上门,我因听不明白,这种生意就做不了。经营期间,店里每天都是按时营业。据说,今天开门,明天不开,顾客会转向别处去买,就会造成营业额下降。以后卖店时会因效益下降,卖不出好价钱。营业期间主要是接待顾客,打价收钱。除了给货架上补充货,也没什么重活要干。闲㗇时间我就看书、看录像,或者是写一些散文,打发时光。</span></p>\n<p><span style=\"font-size: 20px;\">  在美国,卖酒和卖枪支一样属于特种行业。据说有了卖酒执照,其他什么商品都可以出售。经营中也无须应付各类行政管理部门的检查。也未见一个卫生、税务、工商人员前去询问过什么。送货的司机和来店里办事的警察,即使喝瓶饮料,都是照价付款。</span></p>\n<p><span style=\"font-size: 20px;\">  美国的商店里都是用收款机,机内会储存每天的营业额,记载了几点几分卖了哪些货,收了多少钱,收了多少税。从交税上可以测出这个店最少能赚多少钱。听说有些店主为了少交税,收款不经过收款机,会有一些不上帐的利润。据说这样做有两点不好:一是再转卖时,隐瞒的那部分数额无法摆上桌面体现效益,会影响售价。二是如果进货记录与以往一样,而营业额下落过多,会引起税务部门怀疑,就有可能被抽查,加上美国人的法制观念较强,发现商人收款不用收款机,就会举报。若查出有偷税行为,罚得很重。</span></p>\n<p><span style=\"font-size: 20px;\">  这个岛上富人多,安全也好,警察特别负责任。接收生意前,我在店里亲眼目睹了这样一件事:有一个年轻人来买酒,要韩国店主减价卖给他,店主不同意。这个年轻人就把买下的啤酒打开盖,往地上撒了一些走了。店主就给警察打电话报警。没过多久,一个警察来到店里,告知韩国店主说,这个年轻人已被抓住,将会关押一天,并已告诫了他,五个月内不得在距这个酒店一百米以内的地方出现,否则将会被起诉拘捕。韩国店主还告诉我们说,有一天他心脏病犯了,一位顾客发现后,就给警察局打电话,警察来后,安排救护车把他送到医院,留下一名警察替他看店卖东西。</span></p>\n<p><span style=\"font-size: 20px;\">  在交接酒店时,店主就一再告诫我们,对年轻人买酒,一定要查看身份证,如果不满二十一周岁,决不能卖给他们,否则将会被罚,发现三次以上就要吊销执照。一个周末,儿子到店里帮忙,忘了查看顾客的身份证,卖给了一个不满二十一岁的少年两瓶啤酒,被守在店外的警察查住,给儿子开了一个起诉单。到了出庭时,当法官知道我儿子是热心给父母帮忙,因粗心把啤酒当饮料卖了,于是给了一个最轻处罚。让儿子与一家医院联系,约定时间去学习。当妻子开车带着儿子按时去到医院,大门口已等候着一位医务人员,他带着儿子参观了外科病房,让看那些断胳膊缺腿的受伤病人,告诉儿子这些都是酒后驾车造成的后果。参观后签了个名字,算是上了一堂生动的教育课。把学习单交给法官,就没事了。</span></p>\n<p><span style=\"font-size: 20px;\">  还是在洽谈生意期间,我们曾通过熟人到洛杉矶的一家酒店取经,想更多的知道一些做这类生意的诀窍。店主也是个华人很健谈。他告诉我们,在美国购买他人的现成生意,属于购买无形资产。正常情况下,当年就能收回投资成本的就是好生意。两三年收回成本的还算可以,五年以上才能收回投资的就不能考虑去做。我当时就觉得有道理。试想,如果想省下这笔买生意的钱,自己筹办新生意,先得做选址、租房、装潢、安装冰柜、制作货架、联系货源、登广告、申请执照等工作,耗时间,费精力。而且刚开店的头一年里,没有固定顾客,摸不清哪些货畅销,很容易造成商品积压。而买现成生意,接手就有收入,既省心,又稳当。</span></p>\n<p><span style=\"font-size: 20px;\">  虽然,我们算是没走弯道,每月的收入,相当于一个留学多年,在公司打工的博士生。可是,总感到这和我们来美国的初衷不符。当初,我们是想在中国加入世贸前捷足先登,弄懂一些在美国做生意的规则和常识,掌握一些美国的商业运作方式,搭建一座与家乡朋友互通互惠的桥梁。经营了一年,我们感到迈出的这一步,就象小学生学了一年的课,也该升级学更多的知识了,于是就卖掉了这第一个生意,去开拓更广阔的商业领域。</span></p>","status":0,"pv":30,"link":"","createdAt":"2025-04-19T20:43:21.000Z","updatedAt":"2025-04-27T08:10:57.000Z","field":{}}
